This Legal Notice sets out the information we are required to publish about ourselves, and the terms on which you may use swishandclick.co.uk (the "Website"). By using the Website you agree to this Legal Notice. Purchases are governed by our Terms of Service. Words with capital letters have the meanings given in our Terms of Service.

1.1 Our registered office is our geographic address for legal and regulatory purposes. It is not open to visitors and does not accept deliveries, collections, samples or returns.

1.2 We are not authorised or regulated by the Financial Conduct Authority, are not a member of any professional body, and do not subscribe to any code of conduct relevant to this Website.

2. What we do and where

2.1 Swish and Click Ltd is an independent business-to-business distributor and sourcing specialist for promotional products and branded merchandise. It is the contracting party for orders placed through this Website for delivery in the United Kingdom.

2.2 Orders for delivery to the Republic of Ireland, the European Union, the wider European Economic Area and Switzerland are handled by our parent company, Swish & Click OÜ, through swishandclick.eu, under its own terms. Each company is responsible only for its own contracts.

3. Using the Website

3.1 The Website is intended for business users in the United Kingdom. You may use it to browse products and request quotations for your organisation's legitimate business purposes.

3.2 You must not: use the Website in any unlawful or fraudulent way; submit false, misleading or automated quote requests; scrape, harvest or copy Website content or prices using bots, spiders or similar tools; attempt to gain unauthorised access to the Website, its servers or any connected system; introduce viruses or other harmful material; interfere with the Website's operation or security; or use the Website to send unsolicited marketing.

3.3 We may suspend or restrict access to the Website, or refuse any quote request, at any time without notice.

4. Website content

4.1 Product information, images, colours, dimensions and prices on the Website are provided for general information, largely by our Suppliers, and may change without notice. They are not offers, and are binding only when included in an Order Confirmation.

4.2 We take reasonable care to keep the Website accurate and available, but we do not guarantee that it will be error-free, complete, up to date, uninterrupted or free from viruses. You should use your own virus protection.

4.3 Links to other websites are provided for convenience only. We have no control over, and are not responsible for, their content or practices.

5. Intellectual property

5.1 The Website and its content, including text, graphics, layout, software, photographs, mock-up templates and the Swish & Click name and logo, are owned by us, our group companies or our licensors and are protected by copyright, trade mark and other intellectual property laws. Product images may belong to our Suppliers or to brand owners.

5.2 You may view and print pages for your own business reference. You must not copy, reproduce, republish, modify or commercially exploit any Website content without our prior written permission.

5.3 Third-party names, brands and trade marks shown on the Website belong to their owners. Their appearance does not imply any endorsement of, or affiliation with, us, unless stated.

5.4 If you believe that content on the Website infringes your rights, please email info@swishandclick.co.uk with "Legal notice" in the subject line, giving full details. We will review and, where appropriate, remove the content.

6. Material you send us

6.1 When you upload or send artwork, logos or other material through the Website, you confirm that you are entitled to do so and that it does not infringe anyone's rights or break the law. You grant us a licence to use it to respond to your request and perform any resulting order, as set out in our Terms of Service.

7. Our liability for the Website

7.1 To the extent permitted by law, we exclude all conditions, warranties and representations relating to the Website. We are not liable for any loss of profit, revenue, business, data or goodwill, or for any indirect or consequential loss, arising from your use of, or inability to use, the Website or any linked website.

7.2 Our liability in connection with orders is set out in our Terms of Service. Nothing in this Legal Notice limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

8. Prices, payments and consumers

8.1 Prices on the Website are shown in pounds sterling and exclude VAT unless stated otherwise. We do not charge payment surcharges where the law prohibits them.

8.2 Our Website and services are intended for businesses and other organisations. If we agree to supply a consumer, the consumer's statutory rights, including under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, are fully preserved, as set out in Part F of our Terms of Service. We are not obliged to use an alternative dispute resolution provider for consumer complaints, but will tell consumers in writing whether a scheme is available and whether we will use it.

9. Data protection and cookies

9.1 Swish and Click Ltd is the controller of personal data collected through the Website. Our Privacy Policy explains how we use personal data and cookies, and your rights, under the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications (EC Directive) Regulations 2003.

10. Trade compliance and ethics

10.1 We comply with UK sanctions and export control laws and with the Bribery Act 2010, the Criminal Finances Act 2017, the Proceeds of Crime Act 2002 and the Modern Slavery Act 2015 to the extent they apply to us. We will not knowingly deal with any sanctioned person or destination, or with any party involved in money laundering, terrorist financing, bribery, modern slavery, organised crime or other serious unlawful conduct.

10.2 We may refuse, suspend or cancel any quotation or order where we reasonably believe this is necessary to comply with these laws. Doing so in good faith is not a breach of contract, and we will not be liable for any resulting loss.

11.1 We want the Website to be usable by everyone. If you have difficulty using any part of it, or need information in another format, please contact us and we will do our best to help.

12. Languages

12.1 The Website may be offered in British English, Welsh (Cymraeg), Scottish Gaelic (Gàidhlig) and other languages. The English version of this Legal Notice and of our other policies is the authoritative version, and prevails over any translation to the extent permitted by law.

13. Governing law and jurisdiction

13.1 This Legal Notice and your use of the Website are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers resident in Scotland or Northern Ireland may bring proceedings in their local courts and keep the protection of their local mandatory law.
